Bitmine Immersion Technologies has filed with the US Securities and Exchange Commission to issue 3 million shares of Series A Perpetual Preferred Stock priced at $100 each.
The offering aims to raise about $300 million in gross proceeds and was quickly viewed by markets as potentially tied to additional Ethereum accumulation rather than routine operational funding.
Company shares (BMNR) rose roughly 5.8% following the announcement, while Ethereum (ETH) declined 1.7% over 24 hours to around $1,650, extending its weekly losses.
Details of the Preferred Stock Offering
The Series A Perpetual Preferred Stock will carry a 9.5% cumulative annual dividend, payable weekly in cash if declared by the board.
If dividends are missed, the rate increases by 0.05% per week, up to a maximum annual rate of 15% until fully paid.
The preferred shares are expected to trade on the New York Stock Exchange under the ticker BMNP, with listing anticipated about 30 days after issuance.
According to the company’s release, proceeds may be used to acquire additional ETH and other digital assets, expand staking and validator infrastructure including MAVAN, support working capital, pursue ecosystem-aligned investments, or repurchase common stock.
The language permits ETH purchases but does not commit exclusively to that use.
Earlier capital raises included a registered direct common-stock sale in September 2025, with proceeds primarily directed toward ETH accumulation.
By January 2026, the company reported holdings of approximately 4,143,502 ETH and 192 BTC, along with a $25 million stake in Eightco Holdings and about $915 million in cash, totaling roughly $14.2 billion in combined crypto and cash assets.
Of the ETH holdings, around 659,219 tokens were staked through the MAVAN validator infrastructure, generating yield.
