ConsenSys, a prominent blockchain technology firm, has initiated legal action against the United States Securities and Exchange Commission (SEC) and its five commissioners. The lawsuit aims to clarify Ethereum’s status as ‘not a security’.

ConsenSys vs SEC

According to court documents, the SEC issued a Wells Notice to ConsenSys on April 10th, indicating its intention to enforce action against the company’s MetaMask product services. These services include MetaMask Swap and MetaMask Staking, both of which are part of a cryptocurrency wallet developed by ConsenSys for the Ethereum blockchain.

The SEC alleges that these products act as unregistered broker-dealers, violating the Securities Act. In response, ConsenSys argues that the Ethereum wallet is simply an interface and does not hold digital assets or process transactions.

Ethereum’s Status in Question

The lawsuit also highlights the SEC’s changing stance on Ethereum’s status. The commission had previously declared that Ethereum was not a security, a position supported by the Commodities and Futures Trading Commission (CFTC), which classified Ethereum as a commodity under its jurisdiction.

However, the SEC has recently reversed its position, suggesting that Ethereum, the second-largest cryptocurrency by market cap, might be classified as a security. ConsenSys’s lawsuit argues that this reversal violates principles of due process and fair notice.

The blockchain company maintains that it built its business around the Ethereum blockchain after the SEC publicly stated that Ethereum was outside its domain. The lawsuit also asserts that ConsenSys relied on the SEC’s and CFTC’s repeated statements that Ethereum is not a security.

ConsenSys is seeking a court declaration that Ethereum is not a security under the Securities Act and that its sales of Ethereum are not securities sales. The company also wants the court to rule that any enforcement action against it based on Ethereum’s security status is an overreach of authority. Additionally, ConsenSys is seeking to prohibit the SEC “from pursuing any investigation or enforcement action premised on Ethereum transactions being securities transactions”.
