    A potential catalyst for this surge is the possibility of the U.S. Securities and Exchange Commission (SEC) approving the first spot Ethereum exchange-traded funds (ETFs) in the coming days.

    The Potential Impact of SEC Approval

    While the crypto community is excited and anticipates further gains, potentially even surpassing $4,100 and reaching all-time highs, the possible approval of this derivative product has sparked a legal debate about the classification of ETH.

    Jake Chervinsky, a lawyer known for commenting on crypto matters, expressed his views on the matter, suggesting that if the Commission approves the product, it would indirectly acknowledge that all unstaked ETH in circulation are commodities, much like Bitcoin.

    Chervinsky believes such a decision would mark a significant policy shift from the strict regulator. Historically, the U.S. SEC has been hesitant to classify any asset other than Bitcoin as a commodity.

    Approval of the spot Ethereum would indirectly endorse ETH as a commodity, similar to Bitcoin. This would align with the precedent set by spot Bitcoin ETFs issued by firms like ProShares and Fidelity, which track the price of all unstaked ETH.

    Following the regulator’s reported request for interested spot ETH ETF issuers to amend their applications, analysts have observed a notable change. Recent 19b-4 filings submitted to the United States from applicants like Grayscale continue to classify their shares under the “Commodity-Based Trust Shares” rule.

    Moreover, Fidelity’s application specifically states that its ETH will not be staked. Some believe this intentional omission of staking is a strategic move to address the regulator’s potential concerns about securities classification.

    Staking and Regulatory Concerns

    There are suggestions that the U.S. SEC has been reluctant to classify ETH as a security due to staking. As a proof-of-stake network, the promise of yield could be interpreted as offering a guaranteed profit or income.

    This characteristic might classify ETH as a security under the Howey Test criteria, requiring it to be registered with the regulator.

    However, some argue that the Howey Test is outdated, given that Ethereum and digital assets in general are emerging asset classes.

    Representative Tom Emmer commented on the issue, stating that ongoing efforts are being made to provide legal clarity through the Securities Clarity Act. This legislation aims to establish that a token itself does not automatically constitute a security.
