    For Ethereum spot ETFs, the exchanges need the SEC’s approval on the 19b-4s before listing the products and incorporating them into their trading platforms.

    S-1s, or registration statements, are the initial registration forms required for newly sold securities to the public.

    They provide the SEC and potential investors with extensive information on the company’s financial status, management, and business operations.

    In the case of spot ETH ETFs, this filing will encompass the fund’s administration, structure, and strategy for replicating Ethereum performance.

    To legally offer the products to the public, the SEC must approve both the S-1s and the 19b-4s, given their importance.

    Geraci believes the Commission might approve the 19b-4s, but he suspects the S-1s might face a slower response from the agency.

    Without the S-1s approval, the funds cannot be legally sold to investors.

    This could suggest a prolonged period of evaluation and approval for these documents from the SEC.

    The SEC’s lack of engagement has adversely affected the funds, raising questions and doubts about its approval.

    SEC’s Likely Actions

    Nate Geraci is among the leading figures in the crypto industry who are skeptical about the SEC’s approval of the ETH spot ETFs.

    Geraci previously suggested the agency’s minimal engagement as a potential obstacle for the fund’s clearance in May.

    He questions whether the SEC learned from the issues surrounding Bitcoin spot ETFs.

    He has pointed out an approval or lawsuit from the Commission as two potential outcomes for the ETH spot ETFs.

    Currently, the chances of the product’s approval have significantly decreased ahead of the May deadline.
