  • Grayscale Investments, a leading cryptocurrency asset management company based in the US, has unexpectedly pulled its Ethereum Spot Exchange-Traded Fund (ETF) proposal from the United States Securities and Exchange Commission (SEC). This decision comes amidst the ongoing regulatory uncertainty surrounding ETFs in the US that are based on digital assets.

    Grayscale’s Ethereum Futures Trust (ETH) ETF Withdrawal

    On May 7, Grayscale Investments withdrew its Ethereum Futures Trust (ETH) ETF proposal, which was initially submitted to the SEC under the Securities Exchange Act of 1934 and Rule 19b-4. The proposal was filed in September of the previous year and published in October, with the aim of further integrating Ethereum into the US regulatory landscape and increasing exposure for ETH.

    A month after the proposal was published, the SEC delayed its final decision on whether to approve or reject the product, requesting more time to examine the ETH spot ETF. In March 2024, the regulatory body again postponed its ruling on the exchange fund, citing the need for additional time to review the proposed rule change. However, nearly two months later, the firm decided to withdraw its request to convert the Ethereum Trust (ETHE) into a spot ETF.

    This surprising move occurred just two weeks after Grayscale filed an S-3 Registration Statement for its Ethereum Trust, marking a significant step in its Ether investment services. By submitting the S-3 registration statement, Grayscale aimed to enhance the ETH Trust’s regulatory compliance and clarity. With the S-3 form filing, the asset company fulfilled all the requirements for the regulatory watchdog to review and rule on their ETH ETF proposal.

    As per the Securities Act of 1933, the company submitted the S-3 form to the Commission. This significant step by Grayscale followed NYSE Arca’s filing of Form 19b-4 for the firm’s Ethereum Trust.

    The company planned to list its ETH ETF on NYSE Arca under the ticker ETHE and continuously issue shares upon the approval of NYSE Arca’s application on form 19b-4 to list shares and the effectiveness of form S-3 to register the shares. However, shares were only intended to be purchased via a prospectus.

    Speculations Surrounding Grayscale’s Move

    The primary motive behind Grayscale’s decision remains unclear, leading to various speculations within the community.

    James Seyffart, a Bloomberg Intelligence analyst, suggests that the action was essentially a trojan horse filing to create similar conditions that allowed Grayscale to win in the GBTC litigation with the SEC.

    Therefore, he speculates that the SEC drafting a permission or rejection letter for an ETH futures ETF could be a reason why Grayscale withdrew its fund.

    As of now, ETH is trading at $2,991 on the 1D chart.
